There are many different opinions towards government choice of SOE managers.This research argues that outside choice of SOE managers by government is a basic attribute of SOE from its economic function,and can't be denoted as institutional defect.On the other hand,ouside choice can't be overestated to substitute going institutional reform,especially the governance structure reform of SOE.Performing the function of SOE efficiently,outside choice and modern enterprise institution must come into a mechanism which can maintain time consistency of manager behavior and overcome institutional failure.An experiential study shows that inconsistent behavior of SOE manager is mainly caused by institutional incompleteness,and it can't be cured through strenthening outside choice unless institutional reform is carried out thoroughly.

政府对国有企业管理层的外部选择既不是现代国有企业制度不完善的表现 ,也不可能取代国有企业的制度改革 ,相反 ,外部选择和现代企业制度特别是企业治理结构都是保证国有企业性质和绩效不可或缺的有机组成部分。只有二者形成事前选择与事后监督的动态制约体系 ,才能克服国有企业中的制度失灵和管理者行为的不一致性问题。事实表明 ,国有企业管理者行为的不一致的原因主要在于国有企业制度不完善 ,因而改正的办法是深化制度改革 ,而不是简单地代之以强化外部选择。

With the further development of the State-Owned enterprises’reform,the deeply existing problems and contradictions come out.Tracing back to 20 years of the reform,we can see many factors contribute to preventing them from becoming the main body of the socialist market system.In my opinion the main factor that obstructs them from making profit and becoming the market main body is lack of a team of professional competitive enterprisers.At present,the aim to get rid of difficulties in three years will be achieved...

With the further development of the State-Owned enterprises’reform,the deeply existing problems and contradictions come out.Tracing back to 20 years of the reform,we can see many factors contribute to preventing them from becoming the main body of the socialist market system.In my opinion the main factor that obstructs them from making profit and becoming the market main body is lack of a team of professional competitive enterprisers.At present,the aim to get rid of difficulties in three years will be achieved in the near future.The urgent problem is how to arouse enterpriser’s initiative and supervise their behavior and improve their quality and build up a team of professional enterprisers.

随着国有企业改革的深入,国有企业中存在的一些深层次矛盾和问题也集中暴露出来。纵观国有企业改革二十多年的历史,影响国有企业成为社会主义市场经济主体的原因是多方面的,但笔者认为,影响国有企业扭亏增盈、尽快成为市场主体的重要因素是缺乏一支职业化的、高素质的企业家队伍。目前,国有企业三年脱困的目标已经实现,如何既有效地调动国有企业管理者的积极性,又能对其行为进行必要监督,提高企业家综合素质,建立职业化企业家队伍已成为国企改革中刻不容缓需要解决的问题。
