Running a school on a shareholding basis is defined as a kind of school management mode in which two or more investors supply their essential factors of production,including fund,material capital,and such intangible assets as brand name,and own their corresponding equity.Running a school on a shareholding basis in China started from the early 1980s and developed in a big way towards the end of the 1990s.By now two modes have been formed: the Wenzhou mode,or school-level shareholding,in which investers are two or more natural persons and legal representative from the school,and the Jiaojiang mode,or corporate-level shareholding,in which investers are two or more natural persons and legal representative from the company.Both modes of running schools,which feature systematic characteristics such as openness and the powerful function of integrating sources,are in keeping with the general demand for the modern society to achieve the optimized allocation of sources through their flow and reorganization.And they have become one of the most common and important ways in which non-government schools in China's mainland organize and manage capital,while playing a unique part in traditional state-owned education reform.The present practice of school-level shareholding has remained basically on a material capital basis.Apart from a few exceptions,the managerial human capital represented by school principals and the productive human capital represented by school teachers have not yet been fully reflected in the school property ownership structure.As teachers are human capital both in terms of management and teaching who play a fundamental role in competing with their counterparts,to change the current tendency to ignore such human capital so as to reflect its value in the said ownership structure is the right way to keep the vigor of the school shareholding system,thus representing a new orientation for the school's further development. 中国的“股份制办学”始于20世纪80年代初,到90年代末获得极大发展,目前已经形成学校层面的“股份制办学”(温州模式)和公司层面的“股份制办学”(椒江模式)两种基本类型。“股份制办学”的开放性与强大的资源整合功能等制度特征,符合现代社会通过资源流动与重组实现优化配置的要求,因而成为目前中国内地民办学校最普遍和最重要的资本组织与运营方式之一,在改造传统公办教育中也发挥了独特的作用。由于教师人力资本对于学校竞争力的基础性作用,在“股份制办学”产权结构中体现人力资本的价值成为“股份制办学”保持制度活力的新的发展方向。
